Professional Experience
Andrew A. Talley is the Managing Partner of Talley, LLP and Talley Law Group, LLP. He has extensive experience in tax consulting, planning and compliance for all varieties of taxpayers. He is experienced in handling Internal Revenue Service disputes and has represented clients from the initial audit through United States Tax Court. Mr. Talley manages the firm’s Mergers and Acquisition practice. He has represented clients in over 100 transactions, ranging in size up to half a billion dollars in transaction value. Mr Talley advises clients in the legal and tax implications of corporate acquisitions and dispositions.
Mr. Talley has broad exposure to the problems and opportunities of small and mid-sized businesses and their owners. He has particular experience dealing with closely-held businesses in the transportation, manufacturing, distributing, health care, financial services and real estate industries. He has advised business clients on the entire range of tax and business consulting services, including executive compensation plans, lease/buy analyses, employee benefit plans, inventory planning and other tax planning matters. Mr. Talley also advises the owners of closely-held businesses in the areas of estate planning, pension plans, investment and general tax planning strategies.
Mr. Talley is closely involved with the firm’s consulting function. He has advised business owners in the areas of corporate financing; company and departmental reorganizations; business continuity; and succession planning. He has structured corporate and shareholder redemptions; Employee Stock Ownership Plans; and other shareholder purchase agreements.
As the managing partner for the firm, Mr. Talley guides the administrative, marketing and sales functions of the business. As the founder of a Top 30 Orange County CPA firm, Mr. Talley has also managed the startup of two additional practice , Talley Law Group (a tax law firm) and Group 11 Advisors (a financial services and bookkeeping firm).
Mr. Talley is responsible for the firm’s strategic planning, growth and new business development, He also oversees the firm’s private equity function.
Mr. Talley has served on numerous boards of nonprofit and private sector institutions.

Mr. Abercrombie serves as Talley’s Director of Accounting and Auditing Services and has filled this position since 1993. Mr. Abercrombie is responsible for supervision of the professional staff, review and quality control of assurance service; including traditional accounting and auditing engagements, operational and business advisory services, analysis and recommendations for business processes and management of risks. Mr. Abercrombie also serves as the Chief Financial Officer (CFO) of Talley, LLP.
Mr. Abercrombie currently serves as the partner in charge of the firm’s new entrepreneurial small business division. This division focus’ on business with revenues less than $5 million and provide book keeping, accounting, tax preparation and controllership services.
Mr. Abercrombie has significant experience working with closely held companies and their owners. He has particular exposure to the manufacturing, distribution, healthcare and transportation industries. Mr. Abercrombie has assisted these businesses by preparing financial statements, analyzing internal control procedures, designing and implementing accounting systems, assisting in the conversion of computer systems and developing significant ratio and data analyses.
Mr. Abercrombie serves as the CFO for a mid-size manufacturing company. His duties include managing accounting department personnel, negotiating and obtaining financing, evaluate adequacy of insurance coverages, and provides oversight control for the owners of the enterprise.
Mr. Abercrombie has taught continuing education classes for Grant Thornton and has lectured to California State University, Fullerton and Chapman University students on topics such as ethics and trends in Public Accounting. Prior to joining Talley & Company, Mr. Abercrombie was a Senior Audit Manager for Grant Thornton, an international accounting firm and served closely-held businesses and publicly traded entities in the manufacturing, distribution, healthcare, and construction industries.

Todd T. Tillman is the Tax Director of Talley, LLP, and Talley Law Group, LLP. Mr. Tillman has extensive experience in tax planning, consulting and compliance for income, estate and gift tax clients; representation before tax authorities from initial audit through United States Tax Court; legal planning, consulting and compliance for a variety of entities, both for profit and non-profit; and planning and drafting estate plans and business agreements. Mr. Tillman is responsible for overall performance of the tax and legal services provided to the firm’s clients.
Mr. Tillman provides tax and legal counsel to small and medium-sized businesses and their owners on a wide array of tax and business consulting services, including entity structures, wealth preservation and enhancement, asset protection, succession planning and other sophisticated tax reduction strategies and planning matters. Mr. Tillman has experience with closely-held businesses in the transportation, manufacturing, distribution, health care, financial services and real estate industries.
Prior to joining Talley, Mr. Tillman served on active duty as an Assistant General Counsel, Special Assistant U.S. Attorney, Senior Military Legal Counsel to various commanders.

For his business clients, Mr. Allen’s goal is to establish solid, ongoing relationships as the foundation for fair, honest tax protection and trustworthy representation. A nationally recognized taxation expert, Mr. Allen is a member of the California Society of Public Accountants’ (CalCPA) Committee on Taxation, and a popular speaker and instructor in the industry.
Prior to joining Talley, Mr. Allen founded his own firm, Kelly Allen & Associates, Inc., in 2005. Preceding that, he established his professional foundation at Arthur Andersen, LLP, and KPMG, LLP, two of the “Big 4” national accounting firms. He also worked as an in-house CFO in the logistics and distribution industry as well as Best Best & Krieger, LLP, where he gained a valuable perspective on the needs of his business clients.
With his comprehensive background in financial statement audits of Fortune 500 companies, Mr. Allen knows how to master voluminous sets of data to find the needle in the haystack.
