Managing Principal
Andrew A. Talley is the principal in charge of
the tax practice and manager of the firm. He has
extensive experience in tax consulting, planning
and compliance for all varieties of taxpayers.
He is experienced in handling Internal Revenue
Service disputes and has represented clients from
the initial audit through United States Tax Court.
Mr. Talley has the final responsibility for the
quality and direction of tax services performed
on behalf of the firm's clients. To that end,
he directs the firm's recruiting function and
maintains its research facilities.
Mr. Talley has broad exposure to the problems
and opportunities of small and mid-sized businesses
and their owners. He has particular experience
dealing with closely-held businesses in the transportation,
manufacturing, distributing, and real estate industries.
He has advised business clients on the entire
range of tax and business consulting services,
including executive compensation plans, lease/buy
analyses, employee benefit plans, inventory planning
and other tax planning matters. Mr. Talley also
advises the owners of closely-held businesses
in the areas of estate planning, pension plans,
investment and general tax planning strategies.
Mr. Talley is closely involved with the firm's
consulting function. He has advised business owners
in the areas of corporate financing; company and
departmental reorganizations; business continuity;
and succession planning. He has structured corporate
and shareholder redemptions; Employee Stock Ownership
Plans; and other shareholder purchase agreements.
Previously, Mr. Talley was employed as the partner
in charge of the tax practice for Scott, Bankhead
& Co. in Newport Beach, California. His clients
included privately held companies, partnerships,
estates, and highly compensated individuals. Mr.
Talley also worked with the Newport Beach, California,
office of the national firm of Touche Ross &
Co.
Mr. Talley holds a Juris Doctor from the University
of Pacific, a Masters in Business Administration
from California State University, Sacramento,
and a Bachelor of Science in Accounting from California
State University, Long Beach. He is licensed as
a Certified Public Accountant in the State of
California, is a member of the California State
Bar, and is admitted to practice law before the
United States Tax Court.
Mr. Talley has spoken and lectured at a number
of client and public seminars and has published
in the Journal of Taxation. He is currently a
member of the American and Orange County Bar Associations,
as well as the American and California Societies
of Certified Public Accountants. He is a part
time lecturer for the California, New Mexico and
Arizona Societies of Certified Public Accountants
and the American Institute of Certified Public
Accountants. He has also taught seminars for the
Masters of Taxation program at California State
University, Fullerton.
